These Terms & Conditions (“Terms”) govern your access to and use of:

The Athly mobile app

Our website at athlyconnect.com

Any other products, features, or services that link to these Terms

(collectively, the “Services”).

By creating an account, downloading the app, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Who We Are

The Services are provided by Athly LLC (“Athly,” “we,” “us,” or “our”).

Eligibility

By using Athly, you represent and warrant that:

You are at least 18 years old (or the minimum age of digital consent in your jurisdiction, if higher).

You have the legal capacity to enter into a binding contract.

You are not prohibited from using the Services under any applicable laws.

If you are creating a business or community account, you are authorized to act on behalf of that organization.

If you do not meet these requirements, you must not use the Services.


Your Account

You may need to create an account to access certain features.

You agree to:

Provide accurate and current information

Keep your login credentials confidential

Be responsible for all activity that occurs under your account

Notify us promptly at hello@athlyconnect.com
if you suspect unauthorized use

We may disable or terminate accounts at our discretion if we believe these Terms or our Community Guidelines have been violated.


Description of the Services

Athly is an app that helps athletes and active people:

Discover nearby athletes and communities

Join or host sessions, events, and plans

Join clubs and communities

Connect with sport, fitness, and wellness businesses and communities

Chat and build relationships around shared activities and interests

We may add, change, or remove features from time to time.

We are not a party to agreements or interactions between users, including:

Meetups, sessions, or training activities

Business or community memberships

Sales or services offered by businesses or communities

You are solely responsible for your interactions with other users, whether online or offline.


License to Use Athly

Subject to your compliance with these Terms and our Community Guidelines, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Install and use our mobile app on your personal device

Access and use the Services for your personal, non-commercial use (or, for organizations, for your internal business/community use as intended by the platform)

You may not:

Copy, modify, or create derivative works based on the Services

Reverse engineer, decompile, or attempt to extract source code (except where allowed by law)

Rent, lease, sell, sublicense, or otherwise transfer access to the Services

Remove or alter any copyright, trademark, or other proprietary notices

All rights not expressly granted to you remain with Athly and our licensors.

  1. User Content and Your Rights

“User Content” means any content you create, upload, submit, or share on or through the Services, including:

Profile information, photos, and bios

Posts, comments, likes, and reactions

Events/sessions, plans, and community pages

Chat messages and group messages

You retain ownership of your User Content, subject to the rights you grant to us below.


License You Grant to Athly

By posting or otherwise making User Content available through the Services, you grant Athly a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

Use, host, store, reproduce, modify, adapt, publish, translate, distribute, publicly display, and publicly perform such content

Create derivative works from your content

Use your content in connection with operating, improving, and promoting the Services

This license continues for as long as your content is on the Services, and for a reasonable time after deletion where needed for backup, legal, or legitimate business purposes.

You agree that:

You have the necessary rights to the User Content you post

Your User Content does not violate these Terms, our Community Guidelines, or any law

We may remove or limit access to any User Content at our discretion, including content we believe violates our policies or is otherwise harmful.


Community Guidelines & Acceptable Use

You must comply with our Community Guidelines (see separate page), which are incorporated into these Terms by reference.

You agree not to:

Harass, threaten, abuse, or harm others

Engage in hate speech, discrimination, or abusive behavior

Share or request explicit or sexually explicit content, especially in ways that make others uncomfortable

Impersonate any person or entity or misrepresent your identity

Post false, misleading, or fraudulent content

Share someone else’s personal information without their consent

Upload malware, viruses, or harmful code

Use the Services for illegal activities or to promote illegal conduct

Spam or send unsolicited promotions, advertisements, or mass messages

Attempt to bypass or interfere with any security or moderation systems

We reserve the right to investigate and respond to violations with actions including warnings, content removal, feature restrictions, suspension, or permanent account termination, with or without notice.


Business & Community Accounts

If you create a business or community account:

You represent you are authorized to act on behalf of that organization.

You are responsible for the content posted by your admins and for the way you use member information obtained through Athly.

You agree not to upload membership or personal data without having the right to do so and appropriate consent where required by law.

Athly is not responsible for any obligations between you and your members (such as memberships, billing outside of Athly, or local safety rules).


Payments & Subscriptions (If Applicable)

If Athly offers paid plans, subscriptions, or in-app purchases:

You agree to pay all applicable fees and taxes.

Payment processing may be handled by third-party providers (e.g., app stores, payment processors) subject to their terms.

Some purchases may be final and non-refundable, except where required by law or expressly stated.

If your account is suspended or terminated for violating these Terms or our Community Guidelines, any paid fees are generally non-refundable.

Specific subscription details, prices, renewal terms, and cancellation options will be presented to you at the point of purchase.


Safety & In-Person Activities

Athly is designed to help you meet others and participate in sports, fitness, and wellness activities. However:

We do not conduct criminal background checks or vet every user, business, or community.

We do not supervise in-person meetups, training sessions, or events.

We are not responsible for the behavior of any user on or off the platform.

By using the Services, you understand and agree that:

You are solely responsible for your own safety and decision-making.

You participate in any activities, meetups, events, or training sessions arranged through Athly at your own risk.

Athly is not liable for any injury, damage, or loss resulting from interactions with other users or from your participation in sessions or events.

Please read our Safety Tips page and use common sense when meeting others and participating in physical activities.

Third-Party Services & Links

The Services may contain links to or integrations with third-party websites, apps, or services (e.g., mapping tools, payment processors, social platforms).

We do not control and are not responsible for third-party content, terms, or privacy policies.

Your use of third-party services is at your own risk and subject to those third parties’ terms.


Intellectual Property

The Services, including all software, design, text, images, logos, and other content (excluding User Content), are owned by Athly LLC or its licensors and are protected by intellectual property laws.

You may not:

Copy, distribute, or create derivative works from our content except as allowed by these Terms or applicable law

Use our trademarks, logos, or branding without our prior written permission


Disclaimers

You use Athly at your own risk.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY

FITNESS FOR A PARTICULAR PURPOSE

NON-INFRINGEMENT

AVAILABILITY, RELIABILITY, ACCURACY, OR SECURITY

We do not guarantee:

That the Services will be uninterrupted, error-free, or secure

That any particular result, event turnout, or connection will occur

The conduct or identity of any user, business, or community

Some jurisdictions do not allow disclaimers of certain warranties, so some of the above may not apply to you.


Limitation of Liability

To the maximum extent permitted by law:

Athly LLC and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the Services.

Our total aggregate liability to you for all claims related to the Services will not exceed one hundred U.S. dollars (US $100).

Some jurisdictions do not allow limitations on liability for certain damages, so some of the above may not apply to you.

Your sole and exclusive remedy for dissatisfaction with the Services is to stop using the Services and, where applicable, cancel your account.


Indemnification

You agree to indemnify and hold harmless Athly LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

Your access to or use of the Services

Your User Content

Your violation of these Terms, Community Guidelines, or any applicable law

Your interactions with other users, businesses, or communities


Governing Law & Dispute Resolution

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict-of-law principles. (You can update this to the state where Athly LLC is formed, e.g., Idaho.)

You and Athly agree to attempt to resolve any disputes informally first. If we cannot resolve a dispute informally, we may agree to binding arbitration or another dispute resolution method, or proceed in the appropriate courts in the applicable jurisdiction.

You should have a lawyer review and refine your final dispute resolution / arbitration clause to match your risk tolerance and local law.


Changes to the Services and Terms

We may modify, suspend, or discontinue the Services (in whole or in part) at any time.

We may also update these Terms from time to time. When we do, we will change the “Last updated” date at the top and may provide additional notice (e.g., via email or in-app). Your continued use of the Services after changes are posted means you accept the updated Terms.


Termination

You may stop using Athly and delete your account at any time.

We may suspend or terminate your access to the Services at any time, with or without notice, if:

You violate these Terms or our Community Guidelines

We believe your conduct poses a risk to Athly or other users

We decide to discontinue the Services

Sections that by their nature should survive termination (including User Content license, disclaimers, limitations of liability, and indemnification) will continue to apply.


Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms is not a waiver of that right.

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, sale, or other business transaction.
